5. Confidentiality
Both the Company and the Client agree to maintain the confidentiality of any confidential information shared during the course of providing services. This includes but is not limited to financial information, personal data, and business strategies.
6. Disclaimer of Warranties
The Company provides its services on an “as-is” and “as-available” basis. The Company makes no warranties, express or implied, regarding the quality, accuracy, or reliability of the services. The Client uses the services at their own risk.
7. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from the use or inability to use the services.
8. Indemnification
The Client agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with the Client’s use of the services.
9. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under or in connection with these terms shall be resolved in the courts of California.
10. Amendments
The Company reserves the right to modify these terms and conditions at any time. Any changes will be effective immediately upon posting on the Company’s website. The Client’s continued use of the services after any such changes constitutes acceptance of the new terms and conditions.
11. Termination
Either party may terminate the service agreement at any time by providing written notice to the other party. Upon termination, the Client shall pay for all services rendered up to the termination date.
12. Entire Agreement
These terms and conditions constitute the entire agreement between the Company and the Client regarding the use of the services and supersede all prior agreements and understandings, whether written or oral.
